About this opportunity

About the Firm and the Role

We are a boutique law firm in downtown White Plains, New York, with a practice that spans cannabis law matters, transactional matters, and commercial litigation. We are hiring an experienced transactional associate to join our growing team. As a growing firm, we offer attorneys the opportunity to build deep expertise across a varied and interesting practice and grow their own book of business if they so choose. We are committed to achieving superior outcomes for our clients, and are frequently called upon to serve as counsel in matters that present novel and complex legal issues.

This is a hands-on role for an attorney who wants real responsibility and growth opportunities as the firm scales. You will run your own deals, work directly with clients, and help build our busy transactional practice while learning one of the fastest-evolving areas of law. Please note that this position is hybrid.

What You'll Do

You will negotiate and draft a broad range of transactional documents, including:

•        Term sheets for acquisitions and other transactions;

•        Equity purchase and sale agreements for cannabis businesses, both operational and non-operational;

•        Commercial leases and lease options;

•        Management services agreements;

•        Intellectual property license agreements;

•        White-labeling and branding agreements;

•        Crop purchase and sale agreements; and

•        Corporate governance documents, including operating agreements, shareholder agreements, and corporate resolutions.

In addition, you will:

•        Conduct due diligence;

•        Learn and stay current on federal, state, and local cannabis laws and regulations; and

•        Perform regulatory research to assist with providing well thought-out legal advice for complex issues that arise in the cannabis space.

Requirements

•        Juris Doctor (JD) from an accredited law school with active bar admission in New York State (admission to the bar in other states is a plus);

•        At least four (4) years of experience handling transactional matters, with at least some M&A experience;

•        Strong negotiating, drafting, and analytical skills;

•        Exceptional attention to detail and organization;

•        The ability to manage multiple matters at once, while producing excellent work product;

•        Responsiveness and reliability: clients, colleagues, and counterparties must be able to count on you;

•        The ability to work independently as well as collaboratively in a small team environment;

Plus Factors

•        Some experience in cannabis law, other highly regulated areas of law, or startup businesses;

•        Big Law experience, though not necessarily exclusively; experience at smaller firms, where associates typically juggle more matters at once, is also valued.

Compensation and Benefits

Salary: $150,000 to $210,000, depending on experience.

•        Quarterly performance-based bonuses;

•        Origination credit;

•        401(k) with employer matching; and

•        Subsidized health, vision, and dental insurance.
