Emerging Companies/Venture Capital and M&A Associate Attorney

Lateral Link is assisting a repeat client and elite boutique firm with a new unposted search for an Emerging Companies, Venture Capital and M&A Associate Attorney (combined skill set).

The ideal candidate will be class of 2021+ and advise founders, growth-stage companies and the funds that back them on equity financings, acquisitions and the corporate work that surrounds them.

The role also covers general corporate and commercial matters, from entity formation and governance through the contracts a company signs as it scales.

The candidate should have experience in the emerging companies arena.

Top credentials and BigLaw experience is ideal.

New York bar required.

The ideal candidate will have prior experience:

• Representing companies and investors in equity financing transactions, including convertible notes and bridge financings, SAFEs, and Series Seed through Series E equity rounds.
• Working on mergers and acquisitions, both buy-side and sell-side, including stock-for-stock mergers, reverse triangular mergers and cross-border acquisitions.
• Drafting and negotiating transaction documents and running closings.
• Drafting and negotiating commercial contracts, including non-disclosure, manufacturing and supply, distribution, master services and licensing agreements.
• Strong drafting, negotiation and communication skills, and the ability to carry several transactions at once.

The firm positions itself as a genuine alternative to the traditional BigLaw model: leaner, more responsive, and closely tied to client outcomes.

Compensation can exceed Cravath scale. Total bonuses may match or exceed base comp.
