About this opportunity

Job Description

Torres & Zheng at Law, P.C. was originally founded in 2018 and rebranded in 2023. We are a business law firm dedicated to serving the legal needs of businesses, individuals, and employers in China and the United States with exceptional expertise and commitment. Our clients are primarily Chinese and American entrepreneurs, with a significant portion being Mandarin-speaking only.

Our founder came from big law and left to reimagine how legal services are delivered to clients. We are a firm founded by entrepreneurs and built to serve entrepreneurs. Our vision is to build a platform for entrepreneurial lawyers to create the career and future they envision, to disrupt the traditional law firm partnership model and reinvent the client experience through client-centered lawyering. We empower our lawyers to find their "Ikigai"—the Japanese concept of doing what you love and what you are good at.

We are currently seeking a highly motivated and talented mid-level corporate associate to join our team. In this role, you will own and lead your own corporate transactions and client matters from start to finish, while also serving as a senior reviewer and mentor to our junior associates and interns. This is a hands-on, deal-focused position with significant responsibility and direct client exposure, perfect for someone who wants to build their book of business and grow into a leadership role without the administrative burden of running an entire department. You will work directly with the Managing Partner and have a clear path to partnership.

Responsibilities:

  • Manage SEC registration statement and periodic reporting matters for U.S. and foreign private issuers, including Forms F-1, F-3, F-4, S-1, S-3, 20-F and 6-K.
  • Draft and revise registration statements, prospectuses, SEC response letters and related exhibits, coordinating filings through effectiveness or transaction closing.
  • Assist with public and private securities offerings, de-SPAC transactions, mergers and acquisitions, private placements and other corporate transactions.
  • Conduct securities-law and stock-exchange analysis, including compliance with applicable SEC, Nasdaq and NYSE requirements.
  • Coordinate with clients, auditors, underwriters, placement agents, financial advisors and other members of the working group to manage transaction timelines and deliverables.
  • Serve as a day-to-day point of contact for clients, communicate filing and transaction requirements, manage expectations and drive matters toward completion.
  • Participate in client calls and working-group meetings in English (bilingual in Mandarin preferred).
  • Review work prepared by junior associates, paralegals and interns, providing substantive feedback while maintaining accuracy and quality control.
  • Report directly to the Managing Partner and coordinate internal workflow to ensure timely and accurate delivery of work product.
  • Continue developing expertise in public-company reporting, securities offerings, corporate governance and other corporate and securities-law matters under the guidance of the Managing Partner.
  • Contribute to the corporate and securities practice group’s quarterly objectives and broader business goals.

Qualifications:

  • Admitted to the New York State Bar (active and in good standing).
  • 3+ years of corporate law experience related to securities/IPO work.
  • Strong contract drafting and review skills.
  • JD or LLM degree from an accredited law school.
  • Located in New York City (or willing to relocate).
  • Excellent written and verbal communication skills in English. Mandarin Chinese fluency is a plus, but not required.
  • Detail-oriented with strong organizational skills and the ability to manage multiple workstreams simultaneously.
  • Demonstrated interest in business and securities laws.

Benefits:

  • Competitive base salary of $150,000-$180,000 per year, commensurate with experience.
  • Performance-based annual bonus: tied to individual and firm performance.
  • Transactional bonus / commission: you will receive a percentage of revenue generated from deals you originate or lead. (Details to be discussed during interview.)
  • Strong commitment to training and professional development. We will invest in your future if you invest in ours.
  • Visa sponsorship available for qualified candidates.
  • Please note: We are a startup firm, so we currently offer limited benefits. However, we are committed to building a competitive compensation package as the firm grows.

Core Values (SCREAM):

  • Service - We place our clients' matters above our own.
  • Client-centric approach - Our services and business model are designed to put clients' needs first.
  • Relationships - We treat our colleagues like family, not just business associates.
  • Empowerment - We strive to empower you to work autonomously, think critically, and grow.
  • Accountability - We hold ourselves to the standard of a New York City boutique law firm.
  • Mastery - We continually strive to become better versions of ourselves, this is a lifelong goal, not a destination.

Our vision is to build a superior boutique business law firm that provides world-class, value-added legal services—empowering visionaries to fulfill their missions, spurring social change, propelling economic growth, and shaping a better future. This will take sacrifice, hard work, and dedication. Please deeply consider whether you want to be part of this mission before you apply.
