Position Description

Based in Midtown Manhattan, the Senior Corporate & Fund Paralegal will be a key member of the Azimut US team, reporting to Daniel Rathauser. This essential hire will support a wide range of legal matters across Azimut US and its affiliates, working closely with internal teams and external counsel. The responsibilities of this position include, but are not limited to, the following:

  • Corporate Governance & Entity Management: Maintain corporate records, consents, minutes and incumbency certificates for Azimut US and its affiliated entities, and support the Corporate Secretary function, including good standings, annual filings and restructurings.
  • Contract Management: Draft, review and track a broad range of agreements, including vendor, service, loan, marketing and inter-company agreements, maintain a central contract repository, and support vendor consolidation across the platform.
  • Fund Formation, Management & Regulatory Filings: Support the launch and ongoing administration of private funds (PPMs, LPAs, subscription documents, side letters, closings, investor notices, transfers and LPAC matters) and registered funds (registration statements, prospectuses and board materials). With Compliance and external counsel, manage US and offshore regulatory registrations and filings (including Form ADV) and the filing calendar.
  • Product Management: Work with Marketing, the Investment Team and external counsel on new product initiatives, including employee investment vehicles and cross-border product offerings with Azimut Group, and review fundraising materials and investor communications for legal consistency.

  • Legal Operations & General Support: Coordinate with external counsel and Azimut Group's legal team, manage legal templates, invoices and document management, and assist with other matters such as intellectual property, insurance, data privacy and records retention.

Qualifications

The successful candidate will have at least 5+ years of paralegal experience supporting a broad range of corporate, transactional, fund and regulatory matters, ideally gained at a leading law firm and/or in-house at an asset manager, private equity firm or other financial services company. Experience with private fund formation and management is strongly preferred, and experience supporting a multi-entity holding company or M&A transactions is a plus. The candidate should be highly organized, detail-oriented and able to work independently across competing priorities and multiple stakeholders, working both with the Azimut US team and management of each business, with an exceptional work ethic and a high level of integrity.

  • Education: Bachelor's degree required. A paralegal certificate from an ABA-approved program is preferred.
  • Technical Proficiency: Advanced proficiency in Microsoft Word, Excel, PowerPoint and Outlook, and experience with entity management, contract management, e-signature (e.g., DocuSign), virtual data room and document management systems. Comfort using AI-enabled legal tools for drafting, review, research and summarization, with care in verifying their output.
  • Interpersonal Skills: Excellent written and verbal communication, strong problem-solving skills, sound judgment, and the discretion needed to handle highly sensitive, confidential information.
  • Knowledge Base: Working knowledge of corporate governance and entity law (including Delaware), commercial contracting, private fund structures (including master-feeder and parallel structures, onshore and offshore), and the key US securities and investment adviser regulatory frameworks. Familiarity with registered funds (mutual funds and ETFs) is a plus.
  • Project Management: Proven ability to manage multiple concurrent transactions, closings and deadlines with a high degree of accuracy and attention to detail.
  • Certifications (Preferred but optional): Professional designations such as NALA Certified Paralegal (CP) or NFPA Registered Paralegal (RP) are valued.
