Associate General Counsel - M&A

A global industry leader operating in a highly regulated environment is seeking an experienced Senior Counsel to join its legal team. This role offers the opportunity to lead and support significant corporate transactions, strategic partnerships, investments, and other high-impact initiatives that shape the organization's long-term growth and business strategy.

The successful candidate will serve as a trusted legal advisor to executive leadership and business teams, providing practical, business-focused counsel on complex transactions and corporate matters while ensuring compliance with applicable legal and regulatory frameworks.

Key Responsibilities

• Lead all legal aspects of mergers, acquisitions, divestitures, investments, joint ventures, and strategic partnerships.
• Manage transaction structuring, due diligence, negotiation, documentation, execution, and post-closing integration activities.
• Provide legal support for the development, negotiation, and implementation of new commercial relationships and strategic initiatives.
• Advise on the governance and ongoing management of the company's investment portfolio, including restructurings, modifications, and exits.
• Support internal approval processes and prepare materials for executive leadership and board-level review.
• Collaborate with cross-functional stakeholders, including finance, tax, human resources, compliance, intellectual property, and employment teams.
• Serve as a legal advisor to corporate strategy and business development functions.
• Draft, review, and negotiate a wide range of sophisticated corporate and commercial agreements.
• Assist with corporate governance matters and other legal projects as needed.
• Promote a strong culture of ethics, compliance, and risk management throughout the organization.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction.
• Minimum of years of 7 years relevant legal experience gained at a mid-sized or large law firm and/or a public company.
• Significant experience handling complex corporate transactions, including mergers and acquisitions, strategic investments, joint ventures, and commercial partnerships.
• Strong background drafting and negotiating sophisticated transactional agreements.

Preferred Qualifications

• Experience advising public company clients or serving as in-house counsel for a public company.
• Familiarity with public company governance, disclosure, and board processes.
• Experience within financial services or another highly regulated industry.
• Working knowledge of antitrust, employment, intellectual property, and related legal disciplines.
